Terms and Conditions

These Terms and Conditions outline the policies and responsibilities of Golden Ratio Joinery. It is the client’s responsibility to take the time to read them thoroughly and reach out with any questions they may have. The Terms and Conditions will be provided to the client before the deposit is received. By making the deposit payment after receiving this information, we will assume that the client has read, understood, and agreed to the Terms and Conditions.

1. INTERPRETATION

The definitions and rules of interpretation in this condition apply in these conditions:

  • Buyer: The person or company who purchases the Goods from the Company.
  • Company: Golden Ratio Joinery Limited, registered at 128 Hornsey Road, London N7 7LL.
  • Contract: Any legally binding agreement between Golden Ratio Joinery and the Buyer for the sale, supply, and fitting of the goods, incorporating these conditions.

2. APPLICATION OF TERMS

The contract shall be followed on the conditions agreed upon approval of the terms and conditions prior to the start of any project.

2.1 The conditions apply to all the Company’s sales, and any modifications about the order of goods shall have no effect unless expressly agreed in writing and signed (email or paper) by both the Director of the Company and the Buyer. The Buyer acknowledges that it has not relied on any statement, promise, or representation made or given by or on behalf of the Company which is not set out in the Contract.

2.2 Each written acceptance of a quotation of goods by the Buyer shall be reasoned to be an order by the customer subject to these conditions.

2.3 Golden Ratio Joinery is taking responsibility for taking measurements of the windows and ensuring the dimensions are accurate. Three Dormer window openings are to be measured on-site following the Buyer's confirmation of when it is suitable to take dimensions of the opening. Following taking dimensions, if the opening changes and we need to attend the site again, there would be an additional cost associated with the extra site visit.

2.4 The contract will come into effect once Golden Ratio Joinery has confirmed receipt of the deposit.

2.5 All quotations are valid for two weeks from the estimated date. In the event of failure to proceed with the order on time, prices cannot be guaranteed after this date.

2.6 Where our estimate states that windows are to match existing, this only includes the windows themselves. New architraves will be supplied as Golden Ratio standard architraves, unless it has been expressly agreed in writing that Golden Ratio will provide matching architraves, in which case an additional cost will apply.

3. DESCRIPTION

3.1 The quantity and description of the Goods shall be set out in writing in the Company’s quotation or acknowledgement of order. If no specification is given by the client, Golden Ratio Joinery shall allow for standard specifications.

3.2 The description of the Goods shall define in detail all work performed on each service or sale of Goods. Details not included shall not be deemed as agreed to be executed.

4. DELIVERY

4.1 The Buyer shall provide the location for delivery of Goods and execution of work prior to the agreement of the contract, as well as parking.

4.2 Change of delivery location may be approved by the workshop manager given sufficient notice prior to starting the work on projects. Any such agreed change of location is at the direction of the workshop manager, and any additional costs associated with or caused by any such change shall be borne by the Buyer.

4.3 Golden Ratio Joinery will aim to deliver and install the windows in accordance with the schedule outlined below. Please note that the glass is supplied by a third party. If any scratches or defects are identified and the glass is deemed not fit for purpose, this may result in a delay to delivery. In such cases, the client will be informed as soon as possible.

4.4 Golden Ratio Joinery will make every reasonable effort to minimize any delay and expedite the installation process where possible; however, the client should be aware that delays may occur due to issues beyond our control relating to third-party glass supply.

4.5 The client is responsible for providing suitable parking for the delivery of goods and for parking during the installation. Any costs associated with parking, including parking permits, are the client’s responsibility. If only permit-holder parking is available near the property and a parking ticket is issued, the client is responsible for paying the ticket.

4.6 Subject to the other provisions of these conditions, the Company shall not be liable for any direct, indirect, or consequential loss (all three of which terms include, without limitation, pure economic loss, loss of profits, loss of business, depletion of goodwill and similar loss), costs, damages, charges, or expenses caused directly or indirectly by any delay in the delivery of the Goods (even if caused by the Company's negligence).

5. RISK/TITLE

5.1 Ownership of the Goods shall not pass to the Buyer until the Company has received in full (in cash or cleared funds as estimated and agreed on the estimate) all sums due to it in respect of: (a) the Goods; and (b) all other sums which are, or which become due to the Company from the Buyer on any account. (c) Golden Ratio Joinery has the right to remove its goods without replacement of the old windows if the payment hasn’t been fully made within 14 days of installation. (d) The deposit will not be returned to the client as the products have been produced based upon the client's order.

5.2 Until ownership of the Goods has passed to the Buyer, the Buyer shall hold the Goods on a fiduciary basis as the Company's bailee, not destroy, deface, or obscure any identifying mark or packaging relating to the Goods, and maintain the Goods in satisfactory condition and keep them insured on the Company's behalf.

5.3 The Buyer may not resell the Goods before ownership has passed to it.

6. CANCELLATIONS

6.1 Any notification from the Buyer to the Company not to proceed with or to cancel an order needs to be notified in writing to the Company at least two weeks prior to the Company starting work. Any costs incurred by the Company at the time of notification shall be payable by the Buyer.

6.2 In case of later cancellation, the Buyer is deemed to indemnify the Company in full against all loss of profit, damages, charges, and expenses.

7. PRICE AND PAYMENT

7.1 The price for the Goods shall be exclusive of all taxes and duties unless stated otherwise on the quotation.

8.1 For manufacturing projects: Payment of 50% of the total purchase of the Goods is due upon placement of the order for manufacturing, 25% upon delivery of the Goods, and 25% upon completion of the manufacturing and placement project.

8.6 If the Buyer fails to pay any sum due, the Buyer shall be liable to pay interest at an annual rate of 15% above the base lending rate of Lloyds Bank plc, accruing daily.

9. QUALITY

9.2 The Company guarantees that the Goods shall meet the quality expectation within the meaning of the Sale of Goods Act 1979, will be fit for purpose, and fit for a conservation area if that purpose was made known to the Company in writing.

10. LIMITATION OF LIABILITY

10.4 The Company's total liability in contract, tort, or otherwise shall be limited to the Contract price. The Company shall not be liable to the Buyer for loss of profit, loss of business, or depletion of goodwill.

12. FORCE MAJEURE

The Company reserves the right to defer delivery or cancel the Contract if it is prevented from or delayed in carrying on its business due to circumstances beyond reasonable control, including acts of God, governmental actions, war, or pandemics.

14. COMMUNICATIONS

14.1 All communications between the parties about the Contract shall be in writing sent by email or WhatsApp project group.

14.4 Should the buyer change the installation date without giving a minimum of 48-hour notice, there would be an additional cost of £150 per day for cancellation of installation and creating a delay in our installation program.

14.5 Golden Ratio Joinery is not responsible for removing or reinstalling curtains. This service will incur an additional cost and must be agreed upon in writing.

14.7 Golden Ratio Joinery will paint the walls around the window in standard white after making good. If the client wishes to use a matching wall color, they must provide the paint to our installers in advance.

15. WARRANTY

All windows supplied and installed by Golden Ratio Joinery come with the following coverage:

  • 10 years: Workmanship, covering defects in installation and joinery.
  • 5 years: Standard glazing, covering issues such as seal failure or condensation within double-glazed units.
  • 3 years: 12mm glazing, covering issues specific to the thicker glass units.

16. FENSA CERTIFICATION

The Client acknowledges and agrees that it is their responsibility to request FENSA certification within three (3) weeks following the completion of the installation. Golden Ratio Joinery shall provide all necessary documentation to facilitate FENSA registration; however, the Company shall not be liable for any delays or consequences arising from the Client’s failure to request certification within the specified period.
